These Terms of Service ("Terms") govern your use of We Need To Talk's website and services. By using our Service, you agree to these Terms.
1. Eligibility & Account Creation
Our Service centers women's experiences. All users are welcome who agree to and follow these Terms. You must be 18 or older and provide accurate account information. We may suspend or terminate access based on conduct that violates these Terms, Community Guidelines, or law, or to protect user safety. We do not make access decisions based on protected characteristics (e.g., sex, gender identity or expression, race, religion, disability), except where allowed or required by law.
2. Community Guidelines & Prohibited Conduct
Prohibited Activities
You may not:
- Harass, threaten, or intimidate other users
- Post illegal, defamatory, or harmful content
- Impersonate others or provide false information
- Use automated tools to access the platform except for accessibility tools or our documented APIs or with our written permission
- Attempt to identify anonymous users
- Circumvent safety or security measures
- Engage in commercial activities without permission
- Harassment & Misgendering: You may not harass, demean, or persistently misgender others after being informed of their identity
- Infiltration/Disruption: You may not join rooms or use features under false pretenses to disrupt women-centered conversations (e.g., recording to mock, targeted brigading)
- Identity Policing: You may not pressure users to disclose medical or legal documentation of gender, or attempt to "test" or "prove" someone's gender
- Privacy: No doxxing, outing, or posting others' private information
Enforcement
We may suspend or terminate accounts for violations, determined in our reasonable discretion. Enforcement decisions are generally final.
2.1 Non-Discrimination & Inclusion
We enforce our rules based on behavior, not identity. We honor self-identification for gender; we do not require documentation or medical information to verify gender. Reports of identity-based harassment or attempts to police gender will be enforced under these Terms.
2.2 Badges & Participation Controls
To reduce abuse and support women-centered conversations, the Service may offer optional badges and host controls:
- Women Badge (Self-Attested). Users may self-attest "I identify as a woman" to obtain a Women badge. The Platform does not verify gender. Misrepresenting identity to harass or disrupt is a violation and may result in suspension.
- Identity/Liveness Verification (Optional). We may offer ID or liveness checks to deter impersonation. These checks verify personhood, not gender.
- Room Settings. Hosts may enable participation controls (e.g., "Women-badge required to speak" or "Verified accounts only"). Rooms remain public or link-accessible as configured; host controls regulate who can speak or take the stage, not who can view, unless a view restriction is enabled by the host.
- No Guarantee. Badges and checks reduce, but cannot eliminate, abuse or misrepresentation.
3. User Content & License
Content Ownership
You retain ownership of content you post, but you grant us a license to use it.
License Grant
You grant us a worldwide, royalty-free, non-exclusive license that is sublicensable, transferable, and perpetual to:
- Display and distribute your content on the platform
- Use content for platform improvement and AI training
- Include content in marketing materials (with anonymization when appropriate)
- Create derivative works necessary for platform functionality
Content Standards
- Content must comply with community guidelines
- You are responsible for content you post
- We may remove content that violates our policies
- Content licenses survive account deletion to the extent content remains integrated into platform operations or marketing materials
4. Subscriptions & Payment Terms
Future Subscription Plans
We may offer paid subscription services with the following terms:
- Auto-renewal unless cancelled before next billing cycle
- Direct billing through our payment processors
- Price changes with reasonable advance notice
- Cancellation through account settings or customer support
Payment Policy
- Non-refundable: Fees are generally non-refundable except as required by law
- Failed payments: Service may be suspended for payment failures
- Taxes: You are responsible for applicable taxes
5. Platform Safety & Moderation
Safety Tools
Safety features (when available) are provided for informational purposes and may not be comprehensive or accurate. We do not guarantee the effectiveness of safety tools or user verification systems.
Content Moderation
- We use automated systems and human review for content moderation
- AI systems may make errors and we cannot guarantee perfect moderation
- We reserve the right to remove content or suspend accounts based on our policies
- Moderation decisions are made in our reasonable discretion
6. Risk Acknowledgment & Assumption
Inherent Platform Risks
You acknowledge and assume the risks of using online platforms, including:
- User interactions: harassment, misrepresentation, or harmful behavior
- Data security: potential unauthorized access despite security measures
- Platform reliability: service interruptions or technical issues
- Content issues: exposure to offensive or harmful content
- Identity verification limitations: inability to guarantee user authenticity
Voluntary Participation
Your use of the platform is voluntary and online interactions carry inherent risks. See §12 (Limitation of Liability) for how liability is limited.
7. Service Disclaimers & Limitations
Warranty Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES INCLUDING:
- Merchantability and fitness for a particular purpose
- Accuracy of user information or content
- Uninterrupted or error-free service
- Complete security or privacy protection
Service Limitations
We make reasonable efforts to provide reliable service but cannot guarantee:
- Continuous platform availability
- Complete accuracy of safety tools or user verification
- Prevention of all harmful user behavior
- Perfect content moderation or AI system performance
8. External Services & Third Parties
We may integrate with third-party services for:
- Payment processing
- Identity verification
- Analytics and platform improvement
- Customer support
We are not responsible for third-party services, their privacy practices, or their performance.
9. Intellectual Property
Our Rights
We own all rights to platform software, design, trademarks, and proprietary technology.
User Restrictions
You may not:
- Copy or reproduce platform elements
- Reverse engineer our software
- Use our trademarks without permission
- Create derivative works of our platform
DMCA Compliance
We respond to valid copyright infringement notices under the Digital Millennium Copyright Act.
For DMCA notices, please contact our designated agent at [contact@weneedtotalk.com]. Your notice must comply with the requirements of 17 U.S.C. §512(c)(3). We may remove or disable access to content alleged to be infringing and may terminate repeat infringers.
10. Account Termination
Our Termination Rights
We may suspend or terminate accounts for:
- Violations of these Terms or community guidelines
- Suspected fraud or security concerns
- Legal compliance requirements
- Operational reasons
Termination may occur with or without advance notice, determined in our reasonable discretion.
User Termination
You may deactivate your account through account settings. Content licenses and certain obligations survive account termination.
We do not terminate accounts based on protected characteristics. Enforcement actions are based on conduct and the safety of the community.
11. Indemnification
You agree to indemnify and hold us harmless from claims arising from:
- Your use of the platform and violations of these Terms
- Your content and any rights violations
- Your interactions with other users
- Third-party claims related to your account
This includes reasonable attorney fees and costs we incur defending against such claims.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COMPANY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID (IF ANY) TO COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.
Exclusions/Carve-Outs. The above limitations do not apply to liability that cannot be limited under applicable law, including liability for: (i) Company’s gross negligence or willful misconduct; (ii) fraud; (iii) death or personal injury to the extent a limitation would be prohibited by law; (iv) statutory consumer rights that are non-waivable; and (v) any specific indemnity obligations expressly set out in these Terms. Nothing in this Section limits your payment obligations expressly owed under these Terms.
Basis of the Bargain. The foregoing limitations are a fundamental basis of the bargain between you and Company and apply to any theory of liability, whether in contract, tort, statute, strict liability, or otherwise, and even if a remedy fails of its essential purpose.
Time Limitations
Claims must be brought within one year of when the claim arose, regardless of when you discovered the issue. Any claims not filed within this period are permanently barred.
13. Dispute Resolution
Governing Law
These Terms are governed by Texas law, without regard to conflict of law principles.
Dispute Resolution Process
Step 1 - Informal Resolution: Contact us to attempt resolution before formal proceedings.
Step 2 - Binding Arbitration: If informal resolution fails, disputes will be resolved through binding individual arbitration in Travis County, Texas, under AAA rules.
Step 3 - Limited Court Jurisdiction: If arbitration is unavailable, disputes will be resolved in Texas state courts in Travis County.
Important Limitations
- No class actions: All disputes must be brought individually
- No jury trial: You waive your right to jury trial
- Limited appeals: Arbitration decisions are generally final
- Confidentiality: Arbitration proceedings are confidential
14. Cooperation with Law Enforcement
We reserve the right to:
- Cooperate with law enforcement investigations
- Disclose user information when legally required or to protect rights and safety
- Report suspected illegal activity
- Preserve user information for legal proceedings
We may take these actions with or without providing you notice, as permitted by law.
15. Electronic Communications
By using our Service, you consent to:
- Receive communications electronically
- Electronic delivery of notices and agreements
- Digital signatures and click-through agreements having legal effect
16. International Use
If you access our Service from outside the United States:
- You are responsible for compliance with local laws
- These Terms are governed by U.S. law
- Disputes are subject to U.S. jurisdiction as described above
17. Severability & Interpretation
Severability
If any provision is unenforceable, the remainder of these Terms remain in effect. Courts should interpret provisions to maximize enforceability while preserving the intent to limit our liability and obligations.

- Examples are illustrative, not exhaustive
- Including/such as means "including without limitation"
- Reasonable discretion means discretion exercised in good faith based on legitimate business considerations
18. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated through our platform or by email. Continued use after changes constitutes acceptance.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and We Need To Talk regarding your use of our Service.
